Welcome to Sariya Bazar (sariyabazar.com), India's live B2B marketplace for TMT steel bars, structural steel, and construction materials. This platform is operated by Aadhaarshila Materials Pvt. Ltd., a company registered under the Companies Act, 2013, with its registered office at 124, Phase II, Kabir Nagar, Raipur, Chhattisgarh — 492099, India.

By accessing, registering on, or using Sariya Bazar in any capacity — whether as a buyer, dealer, logistics partner, or general visitor — you unconditionally agree to be bound by these Terms and Conditions. Please read them carefully. If you do not agree, you must immediately stop using our platform.

1. Definitions

For the purposes of these Terms:

• "Platform" means the Sariya Bazar website at sariyabazar.com, including all sub-pages, APIs, and mobile interfaces.
• "Buyer" means any registered business entity — contractor, builder, real estate developer, or project manager — who uses the Platform to source steel or construction materials.
• "Dealer / Supplier" means any verified steel manufacturer, stockist, or distributor listed on the Platform with a valid BIS license and GST registration.
• "RFQ" means a Request for Quote, the formal enquiry submitted by a Buyer specifying material grade, quantity, delivery location, and timeline.
• "Live Market Price" means the indicative ex-factory TMT steel rate displayed on the Platform, sourced from dealer confirmations and market aggregation.
• "Transaction" means any trade contract between a Buyer and Dealer facilitated through the Platform.
• "We / Us / Our" means Aadhaarshila Materials Pvt. Ltd. (operator of Sariya Bazar).

2. Eligibility & Registration

Use of Sariya Bazar is restricted to the following:

• Registered business entities operating under Indian law, holding a valid GST registration (GSTIN) where applicable.
• Individuals aged 18 years or above acting on behalf of a business entity with proper authority.
• Dealers must additionally hold a valid BIS IS:1786 license for any TMT products listed, and a valid trade license from the relevant state authority.

By registering, you represent and warrant that all information provided — including your name, business name, GST number, PAN, phone number, and address — is accurate, current, and complete. Providing false information constitutes grounds for immediate account termination and may attract legal action under the Information Technology Act, 2000.

3. Marketplace Usage

Sariya Bazar is a business-to-business (B2B) facilitator marketplace. The following rules govern all usage:

• You may not use the Platform to create fictitious RFQs, test pricing, or engage in speculative procurement without genuine purchasing intent.
• You may not attempt to scrape, copy, or republish any price data, dealer listings, or market intelligence from this Platform without written permission.
• You may not contact dealers via the Platform for purposes unrelated to legitimate steel procurement.
• Dealers may not list products they do not have in stock or cannot deliver within the timeframe quoted. Misrepresentation of stock availability is a violation of these Terms.
• You may not post or transmit any content that is defamatory, misleading, or in violation of any applicable Indian law.
• Use of automated bots, scripts, or scraping tools on this Platform is strictly prohibited.

4. RFQ (Request for Quote) Process

The RFQ system on Sariya Bazar works as follows:

1. A Buyer submits an RFQ specifying material grade (Fe415, Fe500, Fe500D, Fe550D), diameter range, total quantity (in MT), delivery city, and required delivery timeline.
2. Verified Dealers receive the RFQ and submit competitive quotes within the Platform or directly via the provided contact channel.
3. The Buyer evaluates quotes and selects a Dealer. This selection is a binding expression of purchase intent.
4. A formal Purchase Order (PO) is then exchanged between Buyer and Dealer, which constitutes the legal contract of sale. Sariya Bazar is not a party to this contract.
5. Payment terms, delivery schedule, and penalty clauses are to be agreed upon directly between Buyer and Dealer in the PO.

5. Pricing & Market Data

All prices displayed on the Platform are indicative ex-factory rates and are subject to the following conditions:

• Displayed rates exclude GST (currently 18% on steel products) and freight charges unless explicitly stated otherwise.
• Live Market Prices are updated based on daily dealer confirmations and may have a latency of up to 240 minutes during off-peak hours.
• Final transaction prices are determined at the time of Purchase Order confirmation by the Dealer. Sariya Bazar does not guarantee that the displayed indicative price will match the final quoted price.
• Steel prices are volatile and subject to global coking coal prices, domestic demand, railway freight revisions, and government policy. Sariya Bazar accepts no liability for market fluctuations.
• AI-generated price forecasts, outlook indicators (Bullish/Bearish), and trend signals on the Platform are algorithmic projections for informational purposes only. They do not constitute financial advice.

6. Payment Terms

Sariya Bazar does not process, hold, or transfer payments between Buyers and Dealers. All financial transactions are direct between the trading parties. However, the following guidelines apply:

• We strongly recommend Buyers to make payments only after verifying the Dealer's GST registration, BIS license, and identity through our Dealer Verification portal.
• Advance payments should be made via standard bank transfer (NEFT/RTGS/IMPS) with proper documentation. Avoid cash transactions for high-value steel orders.
• In case of disputes related to payment, buyers may invoke our Dispute Resolution Process for mediation assistance.
• Sariya Bazar accepts no liability for financial losses resulting from fraud, non-delivery, or breach of contract by any listed Dealer. Buyers transact at their own risk after due diligence.

7. Material Quality & BIS Standards

All steel material transacted through Sariya Bazar must comply with the following quality standards:

• TMT Bars (Thermo-Mechanically Treated): Must conform to IS:1786 (latest revision) for chemical composition, yield strength, tensile strength, and elongation at fracture.
• Structural Steel (I-Beams, Channels, Angles): Must conform to IS:2062 for relevant grades.
• All listed Dealers must hold a valid BIS license for the products they supply. Sariya Bazar verifies this at onboarding but buyers are encouraged to independently verify before each transaction.

Upon delivery, Buyers must:

1. Inspect material for visible defects, mill test certificates (MTC), and BIS marking within 24 hours of receipt.
2. Conduct weight verification against the delivery challan at the time of unloading.
3. Report any quality discrepancy or short-weight within 48 hours via email to support@sariyabazar.com or the Dispute Resolution portal. Claims made after 48 hours may not be entertained.

8. Delivery & Logistics

• Delivery timelines quoted by Dealers are estimates based on stock availability and transport conditions. Force majeure events (strikes, floods, road blockages, railway disruptions) may delay delivery without liability.
• Risk of loss passes to the Buyer upon loading of material at the Dealer's premises or designated dispatch point, unless otherwise agreed in the PO.
• Sariya Bazar's logistics partners (if used) operate as independent contractors. We are not responsible for damage or loss during transit by third-party logistics providers.
• Buyers must ensure the delivery site has adequate access (road width, crane availability if applicable) for the material being delivered. Detention charges may apply if the delivery vehicle cannot unload due to site unpreparedness.

9. Dispute Resolution

In the event of a dispute between a Buyer and Dealer arising from a transaction facilitated on Sariya Bazar, the following escalation process applies:

1. Level 1 — Direct Resolution (Day 1–3): Buyer and Dealer attempt to resolve the issue directly. Sariya Bazar's support team may facilitate communication upon request.
2. Level 2 — Sariya Bazar Mediation (Day 4–14): Either party may formally invoke our Dispute Resolution Policy by submitting evidence (photos, invoices, delivery challans). Our team will issue a non-binding mediation recommendation within 10 business days.
3. Level 3 — Arbitration: If mediation fails, disputes shall be referred to sole arbitration under the Arbitration and Conciliation Act, 1996 (India), with the seat of arbitration in Raipur, Chhattisgarh.

10. GST Compliance

All transactions on the Platform must comply with the Goods and Services Tax Act, 2017 (India):

• Dealers are responsible for issuing valid GST-compliant tax invoices for all supplies made through the Platform.
• Buyers must provide their correct GSTIN at the time of registration. Providing a false GSTIN to claim Input Tax Credit (ITC) is a criminal offence under the CGST Act.
• The current GST rate on TMT steel bars (HSN 7214) is 18%. Buyers should account for this in their project cost estimates.
• Sariya Bazar is not a GST-registered seller. We do not issue GST invoices for steel transactions. The invoice obligation lies entirely with the Dealer.

11. Intellectual Property

All content on the Sariya Bazar platform — including but not limited to logo, brand name, market intelligence data, blog articles, price indices, AI-generated reports, UI design, and source code — is the intellectual property of Aadhaarshila Materials Pvt. Ltd. and is protected under Indian copyright law.

• You may not copy, reproduce, republish, or create derivative works from any Platform content without prior written consent.
• Fair use citations with proper attribution to "Sariya Bazar (sariyabazar.com)" are permitted for non-commercial educational purposes.
• Scraping or automated collection of price data, dealer information, or market indices is strictly prohibited and may constitute a violation of the IT Act, 2000.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

• Sariya Bazar provides the Platform on an "as is" and "as available" basis without warranties of any kind, express or implied.
• We shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from: trade disputes between Buyers and Dealers, price fluctuation losses, delayed delivery, quality defects in material, or platform downtime.
• Our total aggregate liability to any user for any claim arising from use of this Platform shall not exceed the value of the referral fee (if any) earned by Sariya Bazar from the specific transaction in dispute.
• We are not liable for losses arising from reliance on our indicative price data or AI market forecasts for actual purchasing or financial decisions.

13. Account Termination

We reserve the right to suspend or permanently terminate any user account, with or without notice, for the following reasons:

• Providing false registration information or impersonating another business entity.
• Repeated failure to honour confirmed RFQ commitments or purchase orders (applies to Dealers).
• Engaging in fraudulent behaviour, price manipulation, or misrepresentation of material quality.
• Violation of any clause in these Terms or applicable Indian law.
• Inactivity for more than 24 consecutive months.

Terminated accounts may appeal the decision by writing to support@sariyabazar.com within 30 days. We will review the appeal and respond within 15 business days.

14. Governing Law & Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes not resolved through the process described in Clause 9 shall be subject to the exclusive jurisdiction of the courts of Raipur, Chhattisgarh, India.

By using this Platform, you irrevocably submit to such jurisdiction and waive any objection to proceedings in such courts on grounds of venue, inconvenient forum, or otherwise.

We may update these Terms from time to time; the "Last Updated" date at the top reflects the most recent revision. Continued use constitutes acceptance of the revised Terms.
